Your membership with Gradient is conditioned upon your acceptance and compliance with these membership terms and conditions, available for review and printing via the Gradient electronic membership portal. As used herein, “Member,” “you,” or “your” refers to the individual whose name appears on the Membership Portal. By submitting your information via the Membership Portal and paying the Membership Fee (defined below), you agree to these terms and conditions for the benefit of Gradient, an Oklahoma not-for-profit corporation (“Gradient”). Together with the information submitted on the Membership Portal, these terms and conditions establish your “Membership” with Gradient, along with the associated benefits described below.
Purpose
Gradient operates a coworking facility at 12 N Cheyenne Ave, Tulsa, Oklahoma 74103 (“Facility”), where members may lease and use space for business purposes as further detailed below.
Member commitments
Each member desires to lease space at the facility under these terms and conditions and agrees as follows:
- Membership levels and associated services
Gradient offers the following membership levels with associated services. Members agree to pay the monthly membership fee in effect when they join Gradient, for the level selected on the Membership Portal or any later level chosen by the member. A one-time security & operations setup fee of $25 will be charged to each new member for access control provisioning, security setup, and operational onboarding.
Membership levels summary:
- Social membership - Access to all Gradient programs and events, online community access, and online member perks.
- Hot Desk membership: Social benefits plus 24/7 access to non-reserved areas, Wi-Fi, coffee and refreshments, printing, and conference room credits.
- Education membership - Includes Hot Desk benefits and requires verification of full-time student or teacher status via a valid U.S. educational institution. Access requires registration with a verified institutional email.
- Dedicated Desk membership (month-to-month or 12-month contract): Includes work club services, and a reserved desk with locked storage. 12-month contract includes mail services.
- Private office membership: Includes Work Club services, a locked private office furnished with sit-stand desks, chairs, and lockable storage units, plus VLAN connection, optional Ethernet connection upon request for an additional fee, and mail services.
- License grant; use of facility
By clicking “submit” on the Membership Portal, you agree to a revocable, non-transferable, nonexclusive, limited license to use the facility for general office or educational purposes only. This license does not confer any leasehold interest or estate, solely granting the right to use assigned spaces and shared areas as per Gradient’s rules. Members are assigned specific spaces, including designated desks or offices, and may not encroach upon common areas or other members’ spaces without prior consent. Common areas include shared spaces like the kitchen, bathrooms, lounges, phone booths, and conference rooms. Members must leave common areas clean for others.
- Network security
Members are responsible for using the facility’s network securely and lawfully:
- Avoid unlawful activities online, including inappropriate content and sending spam.
- Maintain basic cybersecurity practices, such as using antivirus software. Gradient reserves the right to monitor network usage and may suspend access if usage poses risks.
- Use of shared resources
Members agree to use utilities, copy machines, printers, and internet services (“Common Resources”) reasonably, like other members. Any additional usage must have Gradient’s written consent. Gradient may implement metering if necessary to ensure fair access.
- Dedicated resources provided ‘as is’
Members accept their assigned desks, offices, or common area desks on an “as-is” basis with no warranty on condition or suitability for business purposes. Gradient will use commercially reasonable efforts to maintain a quality environment.
- Use of dedicated resources, permits
Members with Dedicated Desks or Private Offices are responsible for maintaining their assigned spaces in their original condition, with normal wear and tear accepted. Any necessary repairs or replacements due to member negligence or misconduct will be at the member's expense. Members may not make alterations, drill, paint, or display signage without Gradient’s written consent and must comply with all applicable laws and regulations. Members may only use facility heating and cooling systems provided by Gradient and are responsible for obtaining any required permits or licenses for their business at their own expense.
- Prohibited actions and liens
- Member shall not bring or store in the facility, or permit to be brought or stored any weapon or flammable, combustible, explosive fluid, chemical, or substance.
- Member shall not bring alcoholic beverages into bookable resources or community kitchens without written consent from a member of the Gradient team. Bookable resources include conference rooms, podcast and content studios, and event spaces.
- Member shall comply with all workplace smoking Laws. Gradient is a smoke-free facility. There shall be no smoking or vaping in bathrooms, lobbies, and other common areas or otherwise in the Facility.
- Member shall not use Gradient as their domicile or residence. The space is to be used solely for its intended work purpose, and members shall not sleep or engage in any non-work-related activities in any areas of the Facility, including but not limited to common areas, bookable resources, and private offices.
- Dedicated Desk and Private Office Members agree not to suffer any mechanic’s lien to be filed against the Facility by reason of any work, labor, Services, or materials performed at or furnished to assigned office or desk(s).
- Relocation
Member acknowledges that no exclusive rights or use a particular desk or office have been granted by Gradient and that the desk(s) or office assigned to any Member by Gradient may be relocated within the Facility at any time by Gradient, with no liability to Gradient
- Gradient facility Management
Member acknowledges that Gradient’s active management of the Facility necessitates access by Gradient to the office or desk(s) assigned to Member, without advance notice, in order to provide the Services, view the condition of the office or desk(s), make alterations and repairs and so forth. Gradient will use reasonable efforts to ensure that such visits do not disrupt Member’s operations.
- Gradient activities and events
Gradient may hold public or private events at the Facility during and after Business Hours. To accommodate such events, Gradient may, on occasion, temporarily move Member work areas. Gradient shall make reasonable efforts to keep such distractions to a minimum. Property within Private Offices will not be disturbed.
- Access fob and App-Based Access
Members can enter the facility using either a physical access fob or the Gradient phone app, which ensures secure access and tracks entry points for safety. Members with access privileges are responsible for the security of the facility:
- After-Hours security: Fob holders and app users must ensure all doors are securely closed if they are the last to leave outside of regular business hours (after 6 pm and before 8 am).
- Fob sharing: Access fobs are assigned to specific Member. Sharing access fobs is strictly prohibited and could result in revocation of your access fob and/or your membership.
- Lost access fobs: In the event of a lost or stolen access fob, members must notify Gradient immediately. Replacement fobs can be purchased for $25 to restore secure entry access.
- Security and safety protocol: Gradient reserves the right to monitor building entry logs to maintain a safe environment. Members are expected to cooperate with all security measures and report any suspicious activity or security concerns to Gradient staff promptly.
- Children
Gradient supports families and allows members to occasionally bring children to the facility. Children are treated as guests and must follow the same guest policies, including being signed in at the front desk by their guardian, using the guardian’s contact information, and adhering to all Gradient policies. This is because we need to know who is in the building in case of an emergency. Children must not disrupt the workspace, and ill children should not be brought to the facility.
- Guest Policy
We welcome guests at Gradient and encourage members to abide by our guest policy to ensure a productive and respectful environment for everyone:
- All guests are required to sign in at the concierge desk upon arrival. This is because we need to know who is in the building in case of an emergency.
- Guests are permitted to visit for up to two hours and must work collaboratively with you during their stay, rather than working independently,
- If a guest plans to stay longer than two hours, they are required to either purchase a day pass or rent a conference room, subject to availability. This policy applies to both daytime and after-hours guests.
- We kindly ask all members to respect this policy and to be courteous to staff if any questions arise. Ensuring compliance helps maintain fairness and accessibility for all Gradient members and visitors.
- Pets
Pets are not permitted on the facility premises, except for working service animals as defined by the Americans with Disabilities Act (ADA). Under the ADA, a service animal is defined as a dog that has been individually trained to do work or perform tasks for an individual with a disability. The task(s) performed by the dog must be directly related to the person’s disability. Emotional support animals are not considered service animals.
- Bike Storage
Indoor Bike Storage: Indoor bike storage is available exclusively for members who request access. Members can request access to the bike storage room at the front desk. Usage is at the member's own risk, and Gradient is not responsible for any loss or damage to bikes stored indoors.
- Payment of Monthly Fee and Security Deposit
Monthly membership fees are charged on the 1st of each month. If a membership starts on a date other than the 1st, the initial fee will be prorated based on the days remaining in that month. Fees are considered late after the 10th, and memberships may be canceled after 60 days of non-payment if no communication is received. Gradient reserves the right to adjust membership fees annually with a 30-day notice. Outstanding balances will remain due after membership cancellation and must be paid prior to re-activating a membership.
Members utilizing a private office are required to pay a security deposit (the “Deposit”) no later than seven (7) calendar days after execution of this Agreement. The Deposit shall be held by Gradient without interest and will serve as security for the Member’s performance of all terms, conditions, and obligations under this Agreement. The Deposit is not a prepayment of any Membership Fees and may not be applied toward such fees unless expressly authorized in writing by Gradient. Gradient shall have the right, but not the obligation, to apply all or part of the Deposit to cover any unpaid fees, damages to the office or facility, or any other costs incurred as a result of the Member’s default under this Agreement. If any portion of the Deposit is applied, the Member shall promptly replenish the Deposit upon written demand from Gradient to maintain it at the required amount. Upon termination of this Agreement, full performance of Member’s obligations, and vacation of the space, the unused portion of the Deposit shall be refunded to the Member within sixty (60) days of the written request date, minus any accrued fees, damages, or other charges. Refunds will be issued to the mailing address provided in the Member’s written request; Members are solely responsible for providing an accurate address. Members must request the return of their Deposit within one hundred eighty (180) days after termination. After this period, unclaimed deposits shall be retained by Gradient in accordance with OLTA 41-115(B), in consideration of the administrative burden and costs associated with continued account maintenance. Gradient may commingle the Deposit with its general funds, and the Member acknowledges and agrees to such commingling. If claims against the Member exceed the Deposit amount, the Member remains liable for the outstanding balance.
- Confidentiality
Gradient is an open environment shared by many different people and organizations. Anything said should be expected to be heard by others. Given this dynamic, you are responsible for ensuring appropriate confidentiality of your business or personal information. While all members are expected to respect the privacy and confidentiality of others, Gradient bears no responsibility in this matter.
- Code of conduct
Gradient expects all members to act with integrity, respect, and professionalism, fostering a positive and inclusive environment. Members should embody Gradient’s values in every interaction, maintaining a high ethical standard. Violations may result in disciplinary action, including membership termination. Key conduct areas include:
- Respect: Treat everyone with courtesy, minimize distractions, respect personal space, and be mindful of shared resources.
- Ethics and integrity: Members are responsible for the positive representation of Gradient’s community.
- Inclusivity: Gradient does not tolerate harassment, discrimination, or bullying in any form, including verbal, physical, and visual.
- Substance-free workplace: Illegal substances are prohibited; alcohol may be consumed responsibly at designated events.
- Physical security: Members should secure personal belongings and respect facility security.
- Harassment includes, but is not limited to:
- Offensive verbal comments
- Sexual images
- Deliberate intimidation
- Stalking
- Intrusive photography or recording without consent
- Sustained disruption of talks or other events
- Inappropriate physical contact
- Unwelcome sexual attention
- The above behaviors will not be tolerated and anyone asked to stop is expected to comply immediately. If a participant behaves unacceptably, the Gradient staff may take any action it deems appropriate, including removal from the Facility without warning and no pro-rated refund of the Membership Fee will be provided.
- Gradient may exclude or remove from the Building any person who, in the judgment of Gradient, is intoxicated or under the influence of illegal drugs, or who shall in any manner do any act in violation of any of these Rules and Regulations.
- If you observe a violation of this Gradient Anti-Harassment Policy or are aware of another member using illegal drugs at the Facility or repeatedly showing up intoxicated, please report to Gradient Staff immediately. Reports can also be made anonymously using this FORM.
- Membership Termination
- Termination for convenience
- Month-to-Month Memberships: Members with month-to-month memberships may terminate their membership at any time by providing notice before 5:00 pm on the last business day of the month. The termination will take effect at the end of the current calendar month.
- Annual Memberships: Members with 12-month memberships may terminate their membership at the end or after their contract period, with a minimum of 30 days’ written notice. All memberships will conclude at the end of the calendar month.
- Termination for cause
- Gradient may terminate any membership immediately if the member:
- Fails to comply with any material terms of the membership agreement, including failure to pay the membership fee.
- Vacates the assigned space and fails to make required payments.
- Does not use an assigned office or desk for over 30 days without prior notice, even if payments are current.
- Becomes insolvent or unable to meet debt obligations.
- In such cases, Gradient reserves the right to remove the member, deactivate access, and reclaim the space. All outstanding fees become immediately due. Gradient retains all rights and remedies under applicable law, which are cumulative.
- Access to Facility Post-Termination
- Members whose memberships have been terminated may still attend public events at the facility unless terminated for harassment or security-related issues, in which case they are permanently barred from entry.
- Notice of Changes or Termination
- indemnification
Members agree to release, defend, indemnify, and hold harmless Gradient, including its affiliates, directors, managers, employees, agents, contractors, successors, and assigns (collectively, “Gradient Indemnitees”), from any and all claims, liabilities, losses, suits, demands, expenses, and damages (including attorney fees and costs) arising from or connected with the member’s activities, business, or use of the facility. This includes claims related to bodily injury, property damage, loss of life, or other damages involving third parties. This indemnification does not cover claims resulting solely from Gradient’s gross negligence or willful misconduct.
- Attorney fees
Members agree to reimburse Gradient for any actual and reasonable legal costs, including attorney fees, incurred to address or enforce a breach of the membership terms by the member. This applies regardless of whether a lawsuit is filed or settled out of court.
- Choice of Law and Waiver of Jury Trial
This agreement is governed by the laws of the State of Oklahoma. Members waive the right to a jury trial for any claims arising from this membership agreement.
- Surrender and Abandonment
- Surrender: Upon membership termination, members must remove their belongings, leave their assigned space in good condition (beyond normal wear and tear), and vacate the facility. If repairs are needed due to member use, the cost may be deducted from the security deposit, with any excess costs billed directly to the member.
- Abandonment: If Gradient reasonably believes a member has vacated their space without notice, it may deem the space abandoned, pack up the member’s belongings, and reassign the desk or office. Gradient will attempt to notify the member if possible. Belongings not claimed within 30 days will be donated.
- No Waiver
Failure by Gradient to enforce any membership terms does not waive its right to enforce them in the future. Any term waivers by Gradient are discretionary and specific to each instance.
- Amendments
Gradient reserves the right to update or modify these terms and conditions as needed for facility management, safety, and member convenience.
- Intellectual Property
Members may not use Gradient’s name, logo, or branding without permission, except as a mailing address. Gradient may use a member's name or logo in promotional materials with the member's consent.
- Notices
All notices must be given in writing and delivered personally or via email to the recipient's email address on file. Notices are effective on the day of personal or electronic delivery. Either party can update their contact information by notifying the other.
- Insurance
- Facility Insurance: Gradient maintains property and liability insurance covering the facility’s common areas and permanent fixtures.
- Member Insurance: Members are responsible for their belongings and are advised to carry renter's insurance to cover personal equipment and, if applicable, legally required insurance (e.g., worker’s compensation).
- Subrogation Waiver: Both Gradient and members agree to waive subrogation rights against each other for claims covered by their insurance policies.
- Privacy Policy
Gradient’s policy regarding the collection and use of personal information is detailed in the attached Privacy Policy, which is incorporated by reference into these terms.
- Media Release Clause
By entering Gradient premises, you acknowledge and agree that Gradient, its members, and approved partners may capture photographs, video, and audio recordings of individuals, events, and activities on the property. These materials may be used for marketing, promotional, or informational purposes in print, digital, and social media formats, without further consent or compensation. If you do not wish to be included in such media, please notify a member of the Gradient team in writing prior to your visit.
- Slack Community Guidelines and Terms of Use
The Gradient Slack workspace is intended to be a safe and inclusive space for Gradient Members to interact. The Terms of Use are a baseline for how to interact on Slack.
All Gradient Members are obligated to abide by the following Terms of Use in both spirit and letter.
Purpose of Access:
- Gradient has provided limited Slack access to Members to network, crowdsource, and share opportunities in Tulsa and to build positive bonds within the Gradient community. Any other use of Slack is prohibited.
Use is Subject to Gradient Member Agreement
- Members’ use of Slack is subject to the Gradient Member Agreement and its Code of Conduct.
- While Gradient does not expect any issues, failure to abide by these terms of use may result in warnings and/or removal from Slack, and/or a finding of violation of active Gradient Member Agreement and its Code of Conduct.
- The foregoing notwithstanding, nothing herein is intended to violate laws against whistleblowing and/or the National Labor Relations Act. Report any issues or concerns through the methods set forth in Section VII.
Opinions and Communications Belong to Each Individual User Are Not Opinions and/Statements of Gradient:
- User Opinions and/or Statements are Their Own. Gradient Members with Slack access should neither claim nor imply they are speaking on behalf of Gradient. The Member must make it clear that he/she/it/they is/are not speaking on behalf of Gradient. The following disclaimer may be used: “The views expressed on this [webpage; blog; website] are my own and do not reflect the views of Gradient.”
Privacy:
- Once information is posted to a social media site, it is no longer private. Users who post information on social media sites should have no expectations of privacy or the ability to “unpublish” information that has previously been published.
Reputational Risk:
- Reputational risk is the potential that negative publicity regarding an institution’s or individual’s practices, whether true or not, may cause a decline in his/hers/its/their outreach base, affect relationships, increase litigation expenses, and/or reduce revenue and/or benefits. Users who interact with Gradient on social media, or who make their affiliation with Gradient known, should be mindful of reputational risk to Gradient and/or its Members that can arise in a public forum such as social media.
Compliance with Applicable Laws is Required:
- Gradient Members must comply with all applicable laws when using Slack, including, but not limited to, laws prohibiting crimes, defamation, harassment, bullying and/or discrimination.
Communications Shall Be Professional:
- Communications shall be in line with the Purpose of Access above.
- Be professional and respectful to Gradient, its personnel, Gradient Members and the City of Tulsa. While it is okay to express your personal opinions, opinions shall be expressed in a professional manner.
- Prohibitions:
- Violations of laws and regulations are prohibited.
- Use of obscenities, nudity, and/or pornography are prohibited.
- Harassment, Discrimination, and/or Bullying. Gradient is a diverse community that represents people from many different backgrounds and demographics, we expect all Members to show kindness and respect to fellow Members. Gradient Members must comply with all applicable laws when using Slack, including, but not limited to laws prohibiting crimes, harassment, bullying, and/or discrimination.
- Unauthorized use of data. Respect other Slack posters and others by avoiding any unauthorized use of other’s data available on Slack.
- Harvesting other users’ emails from Slack is prohibited.
- Copyright/Trademark Violations. Observe other’s copyright and trademarks.
- Spamming. Spamming or cross posting the same content multiple times is prohibited. Limit posts to relevant channels. One post is perfect; twice is more than enough; three is too many.
Business Promotion in Gradient Slack:
- Gradient encourages its entrepreneurs to utilize Slack for crowd sourcing, feedback, and business highlights and wins. Business promotion is welcomed, but limited to relevant and useful information. Gradient Slack channels should not be used for frequent advertising, sales pitches, or repeat solicitations for business.
- Reporting Violations and Requests for Slack Communications.
Reporting Violations:
- In the case that someone violates the terms of use, please report the violation to the Gradient team. Please be prepared to particularly identify the communication at issue.
- Slack, either publicly or via private message, is not the appropriate medium through which to report violations of Gradient Member Agreement and/or Code of Conduct.
- Retaliation Prohibited.
- Gradient prohibits retaliation for reporting and/or participating in an investigation of a possible violation of: these terms of use, Gradient Member Agreement and/or the Standards of Conduct.
- Users shall be aware that use of Slack may result in requests and/or demands or orders for access to Slack communications in administrative proceedings, arbitration and/or litigation.
Gradient Reservation of Right to remove from Slack and/or Gradient Membership/ Break of Agreement:
- Gradient reserves the right to remove any posts violating these terms, Gradient Member Agreement, and its Standards of Conduct, posting in excess, and/or posting in any improper channels. Violations may result in being removed from Slack and/or the Gradient Membership, in Gradient’s sole discretion.
